Terms of Use
Effective Date: October 15, 2026
1. ACCEPTANCE OF THESE TERMS
These Terms of Use ("Terms") govern your access to and use of georgiayr.org and all related pages, forms, email and text programs, social media, events, and services (the "Services") operated by Georgia Young Republicans, Inc. ("GYR," "Georgia YR," "Georgia Young Republicans," "we," "us," or "our"). By accessing or using the Services, submitting any form, subscribing to our email or text lists, joining as a member, making a payment, registering for, or attending any event, you agree to these Terms and our Privacy Policy (together, the "Legal Terms"). If you do not agree, do not use the Services.
2. ABOUT GYR
GYR is a Georgia nonprofit corporation and a political organization. GYR is not a government entity. Payments to GYR are not tax deductible as charitable contributions for federal income tax purposes.
3. GOVERNING DOCUMENTS
Membership, chapters, officers, elections, discipline, and internal disputes are governed by the Constitution and Bylaws of Georgia Young Republicans, Inc. (the "Bylaws"). If these Terms conflict with the Bylaws on any matter of internal governance, the Bylaws control. Nothing in these Terms creates any right to membership, office, or participation beyond what the Bylaws provide.
4. ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old to submit forms or make payments through the Services. Statewide membership is available to Georgians ages 18 to 40 who are registered to vote in Georgia, on the terms set by the Bylaws. You agree to provide accurate, current, and complete information, and you authorize GYR to verify it, including your age and voter registration. GYR may decline, suspend, or revoke membership or access in accordance with the Bylaws.
5. MEMBERSHIP DUES, PAYMENTS, AND REFUNDS
- a. Dues. Statewide membership dues are $30 per year, as set by the Bylaws. Chapter membership is obtained through a chartered local club, which sets its own dues.
- b. Refunds. Dues are fully earned when paid and are non-refundable, except as GYR may determine in accordance with the Bylaws. Members who are suspended or expelled forfeit their membership fee. Contributions are final, except for duplicate or erroneous charges reported to info@georgiayr.org within 30 days; refund requests are decided by GYR in accordance with the Bylaws and applicable law.
- c. Events. Ticket and registration refunds are governed by the terms stated on the event listing. If GYR cancels or postpones an event, GYR may, in its sole discretion, offer a refund, credit, or rescheduled event, which is your sole and exclusive remedy. GYR is not responsible for travel, lodging, or any other costs you incur.
6. THIRD-PARTY PLATFORMS
GYR uses independent third-party platforms, each of which is solely responsible for its own platform, processing, security, availability, and conduct:
- WinRed processes dues, contributions, and other payments. Your use of WinRed is governed by its Terms (https://winred.com/terms/donor-terms/) and Privacy Policy (https://winred.com/privacy).
- LeadRight America provides event registration and ticketing. Your use of LeadRight America is governed by its Terms (https://www.leadright.us/terms) and Privacy Policy (https://www.leadright.us/privacy).
GYR does not control and is not responsible or liable for any third-party platform, including its errors, outages, fees, security incidents, or data practices. Links to third-party sites are provided for convenience only.
7. PROHIBITED CONDUCT
You may not, and may not attempt to:
- a. access, probe, scan, or test the vulnerability of any GYR system, account, or network without written authorization;
- b. hack, breach, or circumvent any security, authentication, or access control;
- c. introduce malware, launch denial-of-service attacks, or interfere with the operation of the Services;
- d. scrape, harvest, or collect data from the Services by automated means;
- e. submit false information, impersonate GYR, its officers, members, or any other person, or misrepresent your affiliation with GYR;
- f. use the Services to harass, threaten, defame, or spam anyone; or
- g. use GYR's names, logos, or marks without written permission.
GYR may block or terminate access, report violations to law enforcement, and pursue every available civil and criminal remedy, including under the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Georgia Computer Systems Protection Act (O.C.G.A. § 16-9-90 et seq.). You are liable for all damages, investigation and remediation costs, and reasonable attorneys' fees GYR incurs as a result of your violation.
8. INTELLECTUAL PROPERTY
The names "Georgia Young Republicans," "Georgia YR," and "GYR," and all GYR logos, insignia, content, and materials, are owned by GYR. GYR owns or holds, including through its affiliation with the Young Republican National Federation, the rights to use "Young Republican" and "Young Republicans" in connection with Young Republican organizations and activities in Georgia, and reserves all such rights. Use by chartered clubs is governed by the Bylaws. All other use requires GYR's prior written permission.
9. SUBMISSIONS, PHOTOGRAPHY, AND RECORDING
Anything you submit to GYR may be used by GYR without compensation. By attending a GYR event, you consent to being photographed, filmed, and recorded, and you grant GYR a perpetual, royalty-free right to use your name, image, likeness, and voice in its communications and materials.
10. EVENTS AND ASSUMPTION OF RISK
You attend GYR events voluntarily and at your own risk. Political events may attract protests, counter-demonstrations, or disruption. You knowingly assume all risks of attending, including personal injury, illness, property loss or damage, and harm caused by third parties. GYR may refuse entry to or remove anyone at its sole discretion. You must follow all venue rules and instructions from GYR officials and venue staff.
11. FORCE MAJEURE AND CANCELLATIONS
GYR is not liable for any failure, delay, cancellation, postponement, relocation, or change to any event, program, or Service caused by circumstances beyond its reasonable control, including acts of God; weather and natural disasters; fire and flood; epidemic, pandemic, or public health orders; acts or orders of government; war, terrorism, civil unrest, riots, protests, and political violence; threats or security concerns; strikes; failure of any venue, vendor, speaker, or platform; utility, internet, or system outages; and cyberattacks. GYR may change speakers, schedules, formats, and locations at any time.
12. DISCLAIMERS
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Content on the Services is for general information and political advocacy and is not legal, financial, or professional advice.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, GYR AND ITS OFFICERS, DIRECTORS, EXECUTIVE COMMITTEE MEMBERS, COMMITTEE MEMBERS, CHAPTER LEADERS, EMPLOYEES, VOLUNTEERS, AND AGENTS (THE "GYR PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES, MEMBERSHIP, OR ANY EVENT. THE TOTAL LIABILITY OF ALL GYR PARTIES FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID GYR IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
14. PROTECTION OF OFFICERS AND VOLUNTEERS
GYR's officers, directors, and leaders serve as uncompensated volunteers. To the fullest extent permitted by law, including O.C.G.A. § 51-1-20 and the federal Volunteer Protection Act (42 U.S.C. § 14501 et seq.):
- a. you agree not to bring any claim against any GYR officer, director, Executive Committee member, committee member, chapter leader, or volunteer in his or her individual capacity for any act or omission taken in good faith within the scope of that person's role;
- b. any such claim may be brought only against Georgia Young Republicans, Inc., and only as provided in Section 16; and
- c. you release each such person from personal liability for such acts and omissions.
This Section does not apply to willful or wanton misconduct or to any liability that cannot be waived by law.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the GYR Parties from all claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your conduct at any GYR event, your submissions, or your violation of the Legal Terms or any law.
16. DISPUTE RESOLUTION
- a. Internal Disputes. Any dispute concerning membership, chapters, charters, officers, elections, discipline, or the internal affairs of GYR shall be resolved exclusively through the procedures in the Bylaws, including their dispute resolution and arbitration provisions. You must exhaust those procedures before pursuing any other remedy.
- b. Notice and Good-Faith Negotiation. For all other disputes, claims, or controversies arising from or relating to the Legal Terms, the Services, membership, or any event ("Claims"), you must first send written notice describing the Claim and the relief sought to Georgia Young Republicans, Inc., Attn: Legal, 8735 Dunwoody Place, Suite R, Atlanta, GA 30350, with a copy to info@georgiayr.org. The parties shall negotiate in good faith for 60 days after notice is received.
- c. Mediation or Arbitration at GYR's Election. If the Claim is not resolved, GYR may elect, by written notice within 30 days, to resolve it by (i) good-faith mediation or (ii) final and binding arbitration. Mediation shall take place in Fulton County, Georgia, before a mediator registered with the Georgia Office of Dispute Resolution, agreed by the parties or, failing agreement within 15 days, selected by GYR. If mediation does not resolve the Claim within 60 days, GYR may elect binding arbitration. Arbitration shall be administered by the American Arbitration Association under its applicable rules, before a single arbitrator, seated in Fulton County, Georgia, and governed by the Federal Arbitration Act and the Georgia Arbitration Code (O.C.G.A. § 9-9-1 et seq.). Judgment on the award may be entered in any court of competent jurisdiction. Completion of these steps is a condition precedent to filing any lawsuit.
- d. Individual Claims Only. All Claims must be brought in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award class-wide relief.
- e. Jury Waiver. To the extent permitted by applicable law, you waive any right to a jury trial.
- f. Time Limit. Any Claim must be brought within one (1) year after it arises, or it is permanently barred.
- g. Costs. Arbitration fees shall be allocated under the applicable AAA rules. Each party bears its own attorneys' fees, except as provided in Sections 7 and 15.
- h. Injunctive Relief. GYR may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its systems, data, names, marks, or intellectual property, or to stop a violation of Section 7, without first completing the steps above.
17. GOVERNING LAW, JURISDICTION, AND VENUE
- a. Governing Law. The Legal Terms, and every dispute arising from or relating to GYR, its chartered clubs, the Services, membership, or any event, are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 16.
- b. Conduct Outside Georgia. These Legal Terms bind every member of GYR and of any chartered club, and every participant in GYR activities, wherever located. Any dispute arising from or relating to any activity, event, travel, conference, communication, or other conduct undertaken on behalf of or in connection with GYR or any chartered club ("Official Business") shall be governed by Georgia law and resolved exclusively in Georgia under Section 16 and this Section. This applies even if the Official Business occurred outside Georgia or outside the United States, or while a member was temporarily residing, studying, working, stationed, or deployed elsewhere.
- c. Exclusive Forum. Subject to Section 16, any lawsuit shall be brought exclusively in the state courts located in Fulton County, Georgia.
- d. Consent and Waiver. You irrevocably consent to the personal jurisdiction of the courts in Fulton County, Georgia. To the fullest extent permitted by law, you irrevocably waive any objection, defense, or right, whether arising under any constitution, statute, regulation, court rule, or the common law, based on:
- (i) lack of personal jurisdiction, improper venue, or improper forum;
- (ii) inconvenient forum, forum non conveniens, or any other common-law or equitable doctrine allowing a court to decline jurisdiction or transfer a case;
- (iii) any theory that a court outside Georgia has jurisdiction over GYR, any chartered club, or any GYR Party based on registration to do business, consent by registration, or general jurisdiction, including under Mallory v. Norfolk Southern Railway Co., 600 U.S. 122 (2023);
- (iv) any long-arm statute, any minimum-contacts analysis, or any contacts of GYR, any chartered club, or any GYR Party with any state or jurisdiction other than Georgia; and
- (v) any right to remove, transfer, or change the venue of any action, including removal on the basis of diversity of citizenship and any right under 28 U.S.C. §§ 1404, 1406, 1441, or 1446.
- e. No Other Forum. You agree not to file any Claim in any other court, forum, or jurisdiction. If you do, GYR may seek dismissal, and you shall reimburse GYR's reasonable attorneys' fees and costs incurred in enforcing this Section.
- f. Non-Waivable Rights. Nothing in the Legal Terms waives any right that cannot be waived under applicable law. If any part of this Section is held unenforceable, the remainder shall be enforced to the fullest extent permitted.
18. GENERAL
- a. Changes. GYR may update these Terms at any time by posting a revised version with a new Effective Date. Continued use of the Services after posting constitutes acceptance.
- b. Termination. GYR may suspend or terminate your access to the Services at any time, subject to the Bylaws as to membership.
- c. Severability. If any provision is held unenforceable, it shall be enforced to the maximum extent permitted and modified only as necessary, and the remaining provisions remain in full effect.
- d. Entire Agreement. The Legal Terms, together with the Bylaws, are the entire agreement between you and GYR regarding the Services.
- e. No Waiver; Assignment. GYR's failure to enforce any provision is not a waiver. You may not assign your rights under the Legal Terms. GYR may assign its rights to any successor.
